Before You Buy Property Through Your Company, Read This!

04 September 2026

Many successful business owners reach a point where their company has accumulated surplus cash.

Perhaps you’ve built a strong trading business,

profits and cash are growing,

and you’re looking for ways to invest for the future.

Property investment often appears to be the obvious choice.

A common question we hear is:

“Why don’t I just buy investment property through my trading company?”

While that approach may seem straightforward,

it can create significant tax, succession planning and asset protection issues that are often overlooked.

The Hidden Risk!

Your trading company is likely your most valuable asset.

If investment properties are acquired within the same company, they become exposed to the same risks as the trading business, including claims from creditors, lenders and other commercial liabilities.

More importantly, holding substantial investment assets inside a trading company can potentially dilute its trading status.

Why does this matter?

Because valuable tax reliefs that many business owners rely on when selling or passing on their business may be put at risk, including:

  • Business Asset Disposal Relief (BADR)
  • Business Property Relief (BPR)
  • Gift Relief

For many owner managed businesses, these reliefs can be worth tens or even hundreds of thousands of pounds.

The Personal Extraction Problem!

Some business owners decide to extract funds personally and invest in property in their own names.

While this separates business and investment assets, it often comes with a significant tax bill.

Depending on how profits are extracted, the funds may be subject to:

  • Income tax
  • Dividend tax
  • Employee National Insurance
  • Employer National Insurance

As a result, a substantial portion of the company’s profits can disappear before any investment is made.

A Better Alternative?

In many cases, introducing a holding company structure can provide a more tax-efficient solution.

Under this arrangement:

  • The trading company continues to operate normally
  • Surplus profits can be paid to the holding company without triggering personal tax charges
  • Property investments can then be acquired separately from the trading business

This can provide:

  • Better asset protection
  • Improved flexibility for future investments
  • Greater succession planning opportunities
  • Reduced tax leakage

However, structure is critical.

Simply creating a holding company does not automatically preserve valuable tax reliefs. The overall balance between trading and investment activity must still be carefully monitored.

Already Own Property Inside Your Trading Company?

If investment property is already held within the trading company, all may not be lost.

In some cases, a demerger or other restructuring can separate the property from the trading business without creating immediate tax liabilities.

These arrangements can be highly effective, but they require careful planning and professional advice before any action is taken.

The Right Structure Depends on Your Long-Term Goals

The correct solution is rarely about minimising tax today.

The real question is:

What do you want your business and personal wealth to look like in five, ten or twenty years’ time?

A structure that works well should support:

  • Asset protection
  • Future business sale
  • Succession planning
  • Inheritance tax planning
  • Preserving long term wealth

Final Thoughts

Property investment can be an excellent way to build long-term wealth.

However, purchasing investment property directly through a trading company is often not the most effective approach.

We’ve seen many business owners focus on the property opportunity itself while overlooking the impact on future exit planning, inheritance tax reliefs and asset protection.

A conversation before the investment is made can often save significant tax and create much greater flexibility in the future.

At Morrissey Chartered Accountants, we regularly advise business owners on company structures, succession planning and tax-efficient investment strategies.
